Independent senior legal counsel

Commercial Contracts, Technology & IP

Structure the deal, the rights and the route to implementation.

For companies, startups and innovation teams buying, building, licensing, implementing or commercialising technology, brands, content and digital services.

How I can help

The work, defined clearly

Each mandate starts with the business objective and the decision that needs to be made. The legal work is then built around it.

01

Technology and commercial agreements

SaaS, cloud, software development, APIs, licences, maintenance, support, outsourcing, professional services, MSAs, NDAs and digital terms.

02

Contract review and negotiation

Customer- and supplier-side review, redlines, prioritised risk positions, fallbacks, negotiation strategy and support through signature.

03

IP position, ownership and exploitation

Legal evaluation of protection routes, ownership and chain of title, permitted use, assignments, licensing, technology transfer, R&D, open-source issues and commercialisation.

04

Trade marks and brand protection

EU trade mark filing and registration support, goods-and-services strategy, portfolio review, renewals and coordination of national or international routes where required.

05

Data, privacy and AI contracting

DPAs, data use and transfer provisions, AI clauses, confidentiality, vendor responsibility and the interaction between data, IP and the commercial deal.

06

Contract systems and change

Templates, clause libraries, playbooks, contract workflows, amendments, exit, claims positioning and recovery of difficult contractual projects.

Typical engagements

Practical ways to start

How the mandate is scoped

A clear fee and a controlled perimeter

Fixed fees for bounded reviews and trade mark filing work; phased pricing for drafting, negotiation, portfolio or implementation projects.

When another specialist joins

Senior coordination, without blurred responsibility

Patent prosecution, economic or technical valuation, full GDPR audits, outsourced DPO services, cybersecurity assurance and foreign-law opinions are handled with the appropriate patent, valuation, privacy, technical or local specialist. The practice can assess the legal and contractual IP position and coordinate that wider team.

Technology may support research, comparison and document structuring. The legal position, sources and final recommendation are reviewed by the lawyer.

Discuss a matter

Start with the decision, deadline and documents you already have.

A short, non-confidential brief is enough to establish fit, conflicts, scope and the right next step.
