Independent senior legal counsel

Corporate, Governance & Compliance

Build the corporate structure, ownership and controls needed to make sound decisions.

For companies, subsidiaries and startups handling selected corporate matters or building a workable governance and compliance framework.

How I can help

The work, defined clearly

Each mandate starts with the business objective and the decision that needs to be made. The legal work is then built around it.

01

Selected corporate matters

Incorporation and subsidiary setup support, shareholders’ agreements, board and shareholder decisions, corporate approvals and practical corporate housekeeping.

02

Governance architecture

Decision rights, delegations, committees, approval paths, accountability maps and internal rules designed around how the organisation operates.

03

Company policies and internal frameworks

Codes of conduct, delegations, contracting and procurement policies, conflicts, responsible AI use, approval rules and document or decision workflows. Employment-law policies are coordinated with local employment counsel.

04

Compliance diagnostics and frameworks

Legal gap assessments, risk and control mapping, policies, evidence requirements, corrective actions and implementation roadmaps.

05

AI governance and responsible use

Use-case inventories, role allocation, acceptable-use policies, intake and escalation workflows, vendor controls and legal scoping under the EU AI framework.

06

Procurement and vendor governance

Procedures, tender and contract documentation, evaluation governance, vendor legal due diligence, templates and playbooks.

07

Regulatory advice and stakeholder participation

Interpretation of applicable laws and regulation, obligation and impact mapping, consultation responses, legal position papers and transparent representation in structured EU or institutional feedback processes.

Typical engagements

Practical ways to start

How the mandate is scoped

A clear fee and a controlled perimeter

Fixed diagnostic or phased design and implementation project, depending on organisational complexity.

When another specialist joins

Senior coordination, without blurred responsibility

Selected corporate work is limited by jurisdiction and complexity. Complex formations, capital operations, M&A, reorganisations, tax, employment, formal company-secretarial filings and local-law opinions are coordinated with the appropriate adviser. Political campaigning, undisclosed lobbying and full public-affairs retainers are outside scope; any interest-representation work is accepted only with the required transparency and registration analysis. Technical assurance and regulated compliance functions require the relevant specialist.

Technology may support research, comparison and document structuring. The legal position, sources and final recommendation are reviewed by the lawyer.

Discuss a matter

Start with the decision, deadline and documents you already have.

A short, non-confidential brief is enough to establish fit, conflicts, scope and the right next step.
